n Buyer issue LOI， seller issue firm cooperate offer (FCO) and Draft Sales Purchase Agreement (SPA)

買家開出LOI，賣方回應FCO和購銷合同樣本

n Buyer sign the FCO and return to seller

買家回簽FCO給賣方

n Seller issue the banking coordinates for buyer to issue MT799 Via SWIFT to stipulate that the buyer agrees to the seller’s conditions And has the financial capacity to undertake the deal

賣方把開戶銀行座標給買家，令買家可以通過銀行電傳系統以MT799給賣方資訊，表明買家同意賣方條件，且有財政能力承擔該業務

n After MT799 is issued， seller will issue the Draft Contract

買家的MT799開出後，賣方給出合同樣本

n Buyer and seller sign and seal the contract electronically

買賣雙方電子草簽合同

n Hard copy contract shall be exchanged via DHL or other courier. The Seller shall retain 4 copies and the buyer shall retain 4 copies. Electronic copy of the contract shall be deemed to be enforced and legal before the hard copies are exchanged

合同硬拷貝通過DHL快遞或其他郵路交換.買賣雙方各保存4分硬拷貝.電子版合同在硬拷貝交換之前將被視為可執行的和有法律效應的

n Within 5 banking days after signing the contract， buyer’s bank via SWIFT operative financial instruments to seller’s account

n As soon as the seller’s bank confirm the financial instruments， seller

Arranges to issue 2% performance bond to activate the financial instrument
